Welcome to Contuna Studio. These Terms of Service govern your use of our website and services. By accessing our site, engaging our services, or submitting information to us, you agree to these terms. Please read them carefully.
1. Definitions
1.1. Studio refers to Contuna Studio, a real estate video and photo post-production agency.
1.2. Client refers to any company, agency, freelancer, or individual that engages Contuna Studio for post-production services, including media agencies and freelance photographers and videographers.
1.3. Services refers to all post-production services provided by Contuna Studio, including but not limited to cinematic video editing, photo editing, day-to-dusk conversions, virtual staging, virtual renovation, speed ramps, AI-enhanced video, social cuts, and white-label delivery.
1.4. Retainer refers to the recurring monthly engagement under which Services are delivered, structured according to the tier selected by the Client.
1.5. Deliverables refers to the edited videos, photos, and other media outputs produced for the Client.
2. Services Provided
2.1. Contuna Studio provides retainer-based real estate post-production services across three tiers, each defined by monthly volume, scope, and service-level agreement.
2.2. Each Client is assigned a dedicated editor, a documented style guide developed during onboarding, a delivery SLA, and a recurring quality review.
2.3. The specific scope, volume, turnaround time, and pricing applicable to a Client are confirmed in writing during onboarding and form part of the agreement between the Client and Contuna Studio.
3. Client Responsibilities
3.1. The Client is responsible for delivering raw footage, photos, and any required project assets in the formats and within the timeframes specified during onboarding.
3.2. The Client must provide accurate briefing information, including style preferences, branding requirements, and delivery deadlines.
3.3. The Client warrants that they have the legal right to use, edit, and distribute all materials submitted for post-production, including any music, footage, photographs, or third-party assets.
3.4. The Client agrees that delays in providing footage, briefs, feedback, or approvals may affect delivery timelines and may release Contuna Studio from its delivery SLA for the affected project.
4. Retainer, Pricing and Payment
4.1. Services are provided on a monthly retainer basis. Retainer fees are invoiced in advance and are due on the date specified in the Client's onboarding agreement.
4.2. Unused capacity within a billing cycle does not roll over to subsequent cycles unless explicitly agreed in writing.
4.3. Add-on services, including social cuts and white-label delivery, may be billed separately according to the rates communicated at the time of engagement.
4.4. Late or missed payments may result in suspension of Services until the outstanding balance is settled. Repeated non-payment may result in termination of the retainer.
4.5. All fees are exclusive of applicable taxes unless stated otherwise.
5. Delivery Guarantee
5.1. Contuna Studio operates under an on-time delivery guarantee. The specific terms of this guarantee, including qualifying conditions and remedies, are set out in the Client's onboarding agreement.
5.2. The guarantee applies only when the Client has met all obligations under Section 3, including timely submission of footage, briefs, and approvals.
5.3. The remedy for a missed delivery under the guarantee is limited to the compensation defined in the onboarding agreement and does not include any further liability.
6. Revisions and Quality Standards
6.1. Each Deliverable includes a defined number of revision rounds as set out in the Client's tier and onboarding agreement.
6.2. Revisions must be requested within the timeframe specified in the onboarding agreement. Requests submitted after this period may be treated as new work and billed accordingly.
6.3. Contuna Studio aims to deliver consistent quality across every job. Quality concerns should be raised through the standard revision process or during the recurring review call.
7. Intellectual Property
7.1. Upon full payment of the applicable retainer or invoice, the Client receives ownership of the final Deliverables for use in their own commercial activities.
7.2. The Client retains ownership of all source materials they provide.
7.3. Contuna Studio retains the right to display non-confidential Deliverables in its portfolio, case studies, and marketing materials unless the Client requests otherwise in writing.
7.4. Contuna Studio retains ownership of its internal processes, project files, templates, presets, LUTs, and any proprietary tools developed in the course of delivering Services.
8. Confidentiality
8.1. Both parties agree to keep confidential any non-public business information shared during the course of the engagement.
8.2. White-label arrangements are treated with strict confidentiality, and Contuna Studio will not disclose the Client's involvement to any third party.
9. Data and Privacy
9.1. Information submitted through the website or during the engagement is handled in accordance with our Privacy Policy.
9.2. Contuna Studio takes reasonable measures to protect Client materials and information but cannot guarantee absolute security over the internet.
9.3. Source files and project archives are retained for the period specified in the onboarding agreement, after which they may be deleted.
10. Third-Party Tools and Services
10.1. The website and Services may rely on third-party tools and platforms, including hosting, transfer, and AI-enhancement services. Contuna Studio is not responsible for the availability, performance, or policies of any such third-party tool.
10.2. Any links to third-party websites are provided for convenience and do not imply endorsement.
11. Limitation of Liability
11.1. Contuna Studio will not be liable for any indirect, incidental, special, or consequential damages arising from the use of the Services, including but not limited to loss of revenue, loss of clients, or loss of business opportunity.
11.2. Contuna Studio's total liability under any engagement is limited to the value of the most recent monthly retainer paid by the Client.
11.3. Nothing in these terms excludes liability that cannot be excluded under applicable law.
12. Termination
12.1. Either party may terminate the retainer with the notice period defined in the Client's onboarding agreement.
12.2. Contuna Studio may suspend or terminate Services immediately in the event of non-payment, breach of these terms, or conduct that is abusive, unlawful, or harmful to the Studio or its team.
12.3. Termination does not relieve the Client of payment obligations for Services already delivered or for the current billing cycle.
13. Indemnification
13.1. The Client agrees to indemnify and hold harmless Contuna Studio, its team, and its affiliates from any claims, damages, or losses arising from materials submitted by the Client, the Client's use of Deliverables, or breach of these terms.
14. Changes to Terms
14.1. Contuna Studio reserves the right to update these Terms of Service at any time. Material changes will be communicated to active Clients. Continued use of the Services after changes are posted constitutes acceptance of the updated terms.
15. Governing Law
15.1. These Terms of Service are governed by the laws of the Czech Republic. Any disputes arising under these terms will be subject to the exclusive jurisdiction of the courts of the Czech Republic.
